By accessing or using the website, submitting an inquiry, or using our services, you agree to these Terms and our Privacy Policy.

If you do not agree, do not use the website or submit information through it.

1. About Strategic Funder

Strategic Funder provides business-capital advisory, referral, brokerage, consulting, and related services.

Depending on the circumstances, we may:

Unless expressly stated otherwise in a separate written agreement, Strategic Funder is not a bank, credit union, direct lender, law firm, accounting firm, credit-repair organization, or investment adviser.

2. No Guarantee of Financing

Submission of an inquiry or application does not guarantee:

Approval;

Eligibility;

A specific financing amount;

A specific interest rate or factor rate;

Particular repayment terms;

A closing or funding date;

Acceptance by a lender;

Availability of a particular product; or

Completion of a transaction.

Financing decisions are made by independent lenders or financing providers according to their own underwriting standards.

Any estimated financing amount, payment, rate, qualification, timeline, or product description is preliminary unless confirmed in final written documents issued by the actual financing provider.

3. Third-Party Financing Providers

We may introduce you to or share authorized information with banks, lenders, brokers, financing marketplaces, equipment-financing companies, factoring companies, SBA lenders, commercial-finance companies, and other third parties.

These third parties are independent businesses. Strategic Funder does not control their:

Underwriting decisions;

Product availability;

Rates or fees;

Disclosures;

Communication practices;

Application systems;

Data-security practices;

Approval conditions;

Documentation requirements;

Funding timelines; or

Performance.

A third party may require you to agree to separate terms, privacy policies, credit authorizations, electronic-signature disclosures, or financing agreements.

You are responsible for reviewing and understanding all third-party documents before signing or accepting an offer.

4. Your Authorization to Provide Information

You represent that:

Information you submit is accurate and complete to the best of your knowledge;

You are authorized to provide information concerning the relevant business;

You have authorization to provide information concerning other owners, guarantors, employees, or representatives included in a submission;

Documents you provide are authentic and have not been materially altered;

You will promptly correct materially inaccurate or outdated information; and

Your use of the website and services complies with applicable law.

You authorize Strategic Funder to use and disclose submitted information as described in our Privacy Policy and as reasonably necessary to evaluate, refer, process, or facilitate your inquiry.

5. Consent to Communications

Depending on the consent language presented with a form, you may also authorize relevant lenders, financing providers, referral partners, or platform providers to contact you.

Any consent to receive automated calls or marketing text messages will be governed by the specific disclosure accompanying the form through which that consent is requested.

You may opt out of promotional emails using an unsubscribe link and promotional text messages by replying “STOP.” Opting out of marketing does not prevent transactional or service-related communications where legally permitted.

6. Affiliate and Referral Compensation

Strategic Funder may have a financial relationship with companies mentioned, linked, recommended, or presented through the website.

Strategic Funder does not act as your fiduciary unless a separate written agreement expressly provides otherwise.

9. No Commitment Until Written Agreement

No oral statement, website statement, email, text message, preliminary discussion, estimate, or referral creates a binding commitment to provide financing or professional services.

A financing obligation exists only when the applicable financing provider and relevant parties execute final documents.

A brokerage, advisory, valuation, consulting, or success-fee engagement exists only according to the terms of the applicable written agreement.

10. User Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use the website.

If you use the website for a business or legal entity, you represent that you have authority to act for that business or entity and bind it to these Terms.

11. Permitted Use

STRATEGIC FUNDER DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND RESULTS.

WE DO NOT WARRANT THAT:

THE WEBSITE WILL OPERATE WITHOUT INTERRUPTION OR ERROR;

DEFECTS WILL BE CORRECTED;

THE WEBSITE OR SERVER WILL BE FREE OF HARMFUL COMPONENTS;

AN APPLICATION WILL BE SUCCESSFULLY TRANSMITTED;

A THIRD-PARTY PLATFORM WILL FUNCTION PROPERLY;

A FINANCING PROVIDER WILL RESPOND;

FINANCING WILL BE APPROVED OR FUNDED; OR

ANY PRODUCT WILL MEET YOUR NEEDS.

Some jurisdictions do not allow certain warranty exclusions, so portions of this section may not apply to you.

18. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIC FUNDER AND ITS MEMBERS, MANAGERS, EMPLOYEES, REPRESENTATIVES, CONTRACTORS, AND AFFILIATES WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, DAMAGE TO REPUTATION, OR BUSINESS INTERRUPTION.

THIS LIMITATION APPLIES TO CLAIMS ARISING FROM:

USE OR INABILITY TO USE THE WEBSITE;

FAILED OR DELAYED APPLICATION SUBMISSION;

THIRD-PARTY ACTS OR OMISSIONS;

FINANCING DENIALS OR DELAYS;

TERMS OFFERED BY A FINANCING PROVIDER;

DATA LOSS OR SECURITY INCIDENTS;

RELIANCE ON WEBSITE CONTENT; OR

UNAUTHORIZED ACCESS TO INFORMATION.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STRATEGIC FUNDER’S TOTAL LIABILITY ARISING FROM THE WEBSITE OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

The amount you paid directly to Strategic Funder for the specific service giving rise to the claim during the preceding six months; or

One hundred dollars.

Nothing in these Terms excludes liability that cannot legally be excluded.

19. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Strategic Funder and its members, managers, employees, representatives, contractors, and affiliates from claims, liabilities, damages, losses, judgments, costs, and reasonable attorney fees arising from:

Your violation of these Terms;

False, misleading, fraudulent, or unauthorized information you provide;

Your violation of law;

Your violation of another party’s rights;

Content or documents you submit; or

Your misuse of the website or services.

20. Website Availability and Changes

We may modify, suspend, restrict, or discontinue any portion of the website or services at any time.

We are not liable for website downtime, maintenance, technical errors, interruptions, lost submissions, or discontinued functionality.

You should retain copies of important information and confirm receipt of time-sensitive submissions.

21. Privacy

Our collection and use of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

22. Governing Law

These Terms are governed by the laws of the State of Utah, without regard to conflict-of-law principles.

Subject to applicable law and any separate written agreement, any legal proceeding arising from these Terms or the website must be brought in a state or federal court with jurisdiction in Washington County, Utah.

You consent to the personal jurisdiction and venue of those courts.

23. Time Limit for Claims

To the extent permitted by law, any claim arising from the website or these Terms must be filed within one year after the claim arose. Otherwise, the claim is permanently barred.

This provision does not apply where applicable law prohibits contractual shortening of a limitations period.

24. Severability

If a provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will remain effective.

25. Waiver

A failure to enforce a provision is not a waiver of the right to enforce that provision later.

26. Assignment

Strategic Funder may assign these Terms in connection with a merger, sale, restructuring, transfer of assets, or similar business transaction.

27. Entire Agreement

These Terms, the Privacy Policy, and any separate written agreement applicable to a particular service constitute the entire agreement concerning the relevant subject matter.

If a separate signed agreement conflicts with these Terms, the signed agreement controls concerning the conflicting provision.

28. Changes to These Terms

We may update these Terms periodically.

Changes become effective when posted unless another effective date is stated. The “Last Updated” date identifies the latest revision.

Continued use of the website after revised Terms become effective constitutes acceptance of the revised Terms to the extent permitted by law.
